Key Responsibilities
Board and Meeting Management
Preparing agenda, resolution(s), and minutes for Board of Directors, Committees, and General Meetings, and ensuring post-meeting compliances.
Conducting Board Meetings, Committee Meetings, and General Meetings.
Compliance Management
Ensuring compliance under the Companies Act, 2013, Secretarial Standards, and all allied Acts, Rules, and Regulations.
RBI compliances applicable to the company and subsidiaries.
Compliances and liaising with statutory authorities like the Ministry of Corporate Affairs, Registrar of Companies, RBI, SEBI, Stock Exchanges, etc.
Other secretarial compliances for listed, non-listed subsidiaries, associates, group companies, and overseas subsidiaries.
Reporting and Documentation
Preparation of Annual Report, including Notice, Directors Report, Corporate Governance Report, etc., and e-filing of returns/forms.
Maintenance of statutory records and registers.
Corporate Governance and Advisory
Liaising with external regulators and advisers like lawyers and auditors.
Developing and overseeing systems to ensure the company complies with statutory requirements and codes.
Providing input to management decisions related to dividends, share issues, mergers, and takeovers.
Responding to queries from business units and external stakeholders on corporate governance matters.
FEMA and International Compliance
Knowledge of FEMA capital account transactions and experience in filing FC-GPR, FC-TRS, DI, FLA, APR, and FIFP under FEMA.
Liaising with external stakeholders regarding compliance for overseas subsidiaries.

Company Secretary
Strong Knowledge of Corporate Laws and Compliance
Strong Proficiency in the Companies Act, 2013, Secretarial Standards, and allied Acts, Rules, and Regulations.
Expertise in handling compliance with regulatory bodies like MCA, SEBI, RBI, and Stock Exchanges.
Experience in Board and Stakeholder Management
Proven ability to prepare agendas, resolutions, minutes of meetings, and ensure post-meeting compliance.
Ability to liaise effectively with external regulators, advisors, and internal business units.
Familiarity with FEMA and Related Transactions
Hands-on experience with FEMA compliance, including filings such as FC-GPR, FC-TRS, DI, FLA, and APR.
Strong understanding of capital account transactions and related processes.
Attention to Detail and Organizational Excellence
The ability to maintain accurate statutory records and registers and ensure error-free filing of returns and forms is critical.
Strong organizational skills to manage multiple compliance tasks across subsidiaries and group companies efficiently.

Education and Experience Required
Education – CS completed
Experience (PQE) – 10-15 years of experience in relevant domain & industry
